Chapter 1 General Provisions

Article 1 (Purpose)

The purpose of these Terms of Conditions is to set forth the rights, obligations, and responsibilities of TIMPLUS Co., Ltd. (hereinafter referred to as the "Company") and the users with respect to the use of the intermediary services (hereinafter referred to as the "Ticketbay Global Service") provided through the Ticketbay Global website (www.ticketbayglobal.com) operated by the Company.

Article 2 (Specification, Effect, and Amendment of the Terms and Conditions)

  1. The Company shall post these Terms and Conditions on the main page of the Ticketbay Global Service website in a manner that allows users to easily access and understand them. However, the content of the Terms and Conditions may be made available through a linked page.
  2. The Company may amend these Terms and Conditions to the extent that such amendments do not violate relevant laws and regulations when reasonable grounds arise. In such cases, the Company shall announce the amended Terms and Conditions, specifying the effective date and the reason for the amendment, together with the current Terms and Conditions, on the Ticketbay Global Service at least seven (7) days prior to the effective date and until the day before the effective date. However, if the amendments are unfavorable to users, the Company shall provide notice with a grace period of at least thirty (30) days.
  3. Consent to these Terms and Conditions shall be deemed to constitute agreement to periodically visit the Ticketbay Global Service operated by the Company and check for any amendments to the Terms and Conditions. The Company shall not be liable for any damages incurred by members or users due to their failure to be aware of such amendments.
  4. If a member does not agree to the amended Terms and Conditions, the member may request to withdraw from membership (i.e., the termination of the service use agreement). If the Company has notified or announced that “unless the user expresses objection by the effective date of the amended Terms and Conditions as announced pursuant to Article 2, Paragraph 2 hereof, the user shall be deemed to have agreed to the amended Terms and Conditions,” and the user does not explicitly express objection, the Company shall consider the user to have agreed to the amended Terms and Conditions.
  5. Matters not stipulated in these Terms and Conditions and the interpretation hereof shall be governed by the relevant laws and regulations of the Republic of Korea or established commercial practices.
  6. When using the services provided by the Company, members shall comply with relevant laws and regulations, including the Act on the Consumer Protection in Electronic Commerce, etc. (e.g., provisions concerning electronic documents, labeling and advertising, returns, delivery, and distance selling), the Framework Act on Electronic Documents and Transactions (e.g., consumer protection provisions), the Framework Act on Consumers (e.g., provisions concerning the duties of business operators), the Act on Fair Labeling and Advertising (e.g., labeling and required information relating to detailed product descriptions), and the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc. (e.g., provisions concerning personal data protection). Members may not claim exemption from liability for violations of such laws and regulations on the grounds of the provisions of these Terms and Conditions.

Article 3 (Definition of Terms)

  1. The definitions of terms used in these Terms and Conditions are as follows:
    1. Ticketbay Global Service: This refers to the service and all related additional services provided by the Company through its website as an online marketplace enabling members to sell and purchase products internationally with one another.
    2. Member: This refers to any user who agrees to these Terms and Conditions, enters into a service use agreement with the Company, and uses the Ticketbay Global Service.
    3. ID (Email): This refers to the email address set by the member and approved by the Company for the purpose of identifying the member and enabling the use of the service.
    4. Password: This refers to a combination of letters and numbers set by the member and approved by the Company to confirm the member’s identity and protect the member’s information.
    5. Product: This refers to all types of tickets, including the rights of admission to performances and various events, that are transferable to third parties.
    6. Seller: This refers to a member who registers a product using the services of Ticketbay Korea.
    7. Buyer: This refers to a member who agrees to these Terms and Conditions, enters into a service use agreement with the Company, and purchases a product using the forms provided online by the Company.
    8. Payment Completed: This refers to the status in which the buyer has completed payment for a product registered on the site but has not yet received the product.
    9. Ready to Send: This refers to the status in which the seller has delivered the product to Ticketbay for the purpose of transferring it to a buyer located overseas. (From the start of the seller’s dispatch to before Ticketbay ships it to the buyer)
    10. Delivered: This refers to the status in which the seller has completed delivery of an E-ticket to the buyer, or Ticketbay has delivered the ticket to the buyer. (Includes the period from the start of shipping to the completion of receipt)
    11. Order Completed: This refers to the status in which the transaction is automatically finalized at 12:00 PM (UTC+9) on the day following the event date.
  2. Terms not defined in Paragraph 1 above shall be interpreted according to general commercial practices.

Chapter 2 Services Provided by the Company

Article 4 (Provision of Services)

  1. The Ticketbay Global Service is an online marketplace provided by the Company that enables members to engage in transactions with one another based on their own autonomous decisions.
  2. The Company does not sell products to members nor purchase products from members, and merely provides tools and services designed to enhance the safety and reliability of transactions between members.
  3. Responsibility for any transaction established between members shall be borne solely by the members who are parties to the transaction.

Article 5 (Provision of Information)

  1. The Company may provide members with various types of information deemed necessary during their use of the Ticketbay Global Service, via email or other methods.
  2. If the Company determines that a member has violated the laws of the Republic of Korea or these Terms and Conditions, or is likely to harm the interests of other members, it may take action to suspend the member's account. Furthermore, if required by law or if there is an unavoidable reason pursuant to applicable legal provisions, the Company may provide the member’s information to the relevant authorities.
  3. The Company does not guarantee the reliability of any access or use that results in errors due to access via means other than the officially provided Ticketbay Global Service or through other domains.

Article 6 (Disclaimer of Agency and Warranty)

  1. The Company merely provides an online marketplace for transactions between members and is not a party to any distance selling related to the products.
  2. The Company does not act as an agent for any member wishing to sell or purchase products, and no act of the Company shall be deemed to constitute an act of agency for the seller or buyer.
  3. The Company does not control or restrict any information, such as the product descriptions, posted by members. However, if the Company determines that such posted content infringes on the rights or reputation of others, is irrelevant to the transaction, or violates applicable laws or regulations, the Company may delete such content, cancel or suspend the transaction, or take other necessary measures.

Article 7 (Obligations of the Company)

  1. The Company shall not engage in any acts that violate these Terms and Conditions or relevant laws and regulations, and shall make its best efforts to provide users with continuous and stable services.
  2. The Company shall publicly disclose its Privacy Policy and comply with it. In addition, the Company shall protect users’ personal data and establish a security system to ensure the safe and reliable use of the Ticketbay Global Service.
  3. In the event that a performance or event is cancelled,The Company shall provide services such as the provision of refund-related information and the receipt of refund payments, so that the buyer may receive a full refund of the amount paid for the product from the seller or the organizer of the performance/event. If the organizer of the performance/event announces through an official channel that the event will not be rescheduled to a new date and that the full amount of the ticket price will be refunded, the relevant performance/event shall be deemed to have been cancelled.
  4. The Company does not guarantee any changes to or non-performance of a performance/event caused by the organizer or related parties. Furthermore, the Company shall not be liable for any restrictions on entry due to identity verification measures imposed by the organizer or related parties.

Article 8 (Available Service Hours)

  1. In principle, the service is available 24 hours a day, 365 days a year.
  2. The service may be temporarily suspended during periods designated by the Company for operational purposes, and the Company shall provide prior notice of such suspension.

Article 9 (Service Maintenance and Suspension)

  1. The Company shall make efforts to keep its service facilities in an operable condition at all times, and in the event of any failure or destruction of such facilities, the Company shall promptly repair or restore them.
  2. The Company may suspend the provision of services in any of the following cases:
    1. When it is unavoidable due to construction work, such as maintenance, on information and communications facilities used for the service;
    2. When a facilities-based telecommunications provider, as defined under the Telecommunications Business Act, suspends telecommunications services;
    3. When the normal use of the service is hindered due to a national emergency, power outage, failure of service facilities, or excessive traffic on the service.
  3. In the event of service suspension due to any of the cases under Paragraph 2 of this Article, the Company shall not be liable for any damages incurred by members.

Chapter 3 Membership Registration

Article 10 (Application for Membership Registration)

  1. A user may apply for membership by completing the registration form prescribed by the Company and expressing their consent to these Terms and Conditions.
  2. A service use agreement between the user and the Company shall be established when the user submits an application for membership registration and the Company accepts it. The Company may indicate its acceptance by displaying a message on the relevant service screen, or by notifying the applicant via email or other means.
  3. For the purpose of providing useful information to members and ensuring accurate product delivery, the Company may request additional information other than the required items specified in Paragraph 2 above. Members may voluntarily choose whether to provide or decline to provide such information.
  4. Only individuals who are 17 years of age or older may register for membership. The Company may reject any application for membership submitted by a person under the age of 17.
  5. Any problems arising from false or erroneous information provided by a member shall rest with the member who registered the information.
  6. A member who registers using another person’s information shall not be entitled to legal protection, and all civil and criminal liabilities arising therefrom shall rest with the member who registered.
  7. If a member provides false or inaccurate information, or if such information is later discovered, the operator of the Ticketbay Global Service may, at its discretion, temporarily or permanently suspend the member’s use of the service or terminate the service use agreement. The member shall be fully liable for any damages incurred by the Company or third parties arising therefrom.
  8. The Company may provide members with various useful information regarding its services via email.

Article 11 (Obligations of Members)

Members shall comply with applicable laws and regulations, the provisions of these Terms and Conditions, and any other usage guidelines notified by the Company.

Article 12 (Membership Withdrawal and Disqualification)

  1. Membership Withdrawal
    1. A member may request withdrawal of membership from the Company at any time, and the Company shall process the withdrawal without delay. However, the member must complete, cancel, or withdraw from all sales and purchase procedures before notifying the Company of the intent to withdraw, and any disadvantages resulting from failure to do so shall be borne by the member.
    2. A member who withdraws pursuant to this Paragraph may re-register as a member in accordance with the membership registration procedures and related provisions set forth in these Terms and Conditions.
  2. Disqualification
    The Company may restrict or suspend a member's qualifications if any of the following grounds apply. In such cases, the Company may provide the member with an opportunity to present their opinion in advance:
    1. Registering or selling false products or products that cannot be legally transferred to third parties;
    2. When the product description registered by the member does not match the actual product;
    3. When it is determined that the member delays the delivery of the product or intentionally fails to deliver it;
    4. When the member registers products for sale that are deemed inappropriate for transactions or engages in, or attempts to engage in, transactions that violate public order or good morals;
    5. When the member infringes on the rights, reputation, credit, or other legitimate interests of the Company, other members, or third parties;
    6. When the member engages in or attempts direct transactions to exchange payment for products without using the services provided by the Company;
    7. Acts determined by the Company to be criminal, such as product fraud;
    8. Using another person’s payment method (credit card or mobile phone number) without authorization;
    9. Using another person’s email address without authorization;
    10. Violating the provisions of these Terms and Conditions;
    11. Using abusive or defamatory language;
    12. Using the Ticketbay Global Service system or services for illegal acts such as transmitting spam, distributing malware, or other acts prohibited by law;
    13. Registering any product for sale that is subject to legal restrictions, may cause harm to the buyer, or is deemed inappropriate for transaction under social norms or the Company’s operational policies.
  3. A member who has not completed transactions prior to disqualification under Paragraph 2 of this Article shall take the necessary actions regarding delivery and refunds related to such transactions, and the provisions concerning liability for products transacted prior to the disqualification shall remain in effect.
  4. Any damages arising in connection with disqualification shall be borne by the member concerned, and the Company shall not be held liable in any respect.

Article 13 (Notice to Members)

  1. When the Company gives notice to a member, such notice may be sent to the email address provided by the member to the Company.
  2. In the case of notice to an unspecified number of members, the Company may substitute individual notice by posting such notice on the (Ticketbay) Global Service for at least one week. However, matters that may have a significant impact on a member’s transaction shall be individually notified.

Article 14 (Changes to Member Information)

  1. If there is any change to the information entered at the time of membership registration, the member shall immediately update such information.
  2. The member shall be responsible for any damages resulting from a failure to update the information or from incorrect modifications, and the Company shall not be liable in any way in this regard.

Article 15 (Management of ID (Email) and Password)

  1. Members are responsible for managing their ID (email) and password, and shall not transfer or lend them to any third party.
  2. Unless due to the Company’s wilful misconduct or gross negligence, the Company shall not be liable for any loss or damage arising from the leakage, transfer, or lending of a member’s ID (email) or password.
  3. If a member becomes aware that their ID (email) or password has been stolen or is being used by a third party, the member shall immediately notify the Company and comply with any instructions provided by the Company.

Chapter 4 Use of Services

Article 16 (Use of Platform Services)

  1. Members must complete transactions through the procedures provided by the Company within the Ticketbay Global Service. Even if a seller, buyer, or transaction information is obtained through the Ticketbay Global Service, the Company shall not be liable for any issues arising from direct transactions between members that are not conducted through the Ticketbay Global Service.
  2. The Company may, for valid reasons, modify the content of the Ticketbay Global Service and shall notify members of such modifications via the Ticketbay Global Service screen and related announcements.
  3. The Company shall provide notice of modifications pursuant to Paragraph 2 of this Article at least seven (7) days prior to the effective date of such changes. However, in urgent circumstances, the Company may modify the service content immediately after providing notice. The Company shall not be liable for any damages incurred by a member due to failure to check such notices.

Article 17 (Obligations of Buyers)

  1. Buyers shall comply with the laws and regulations of their respective countries in connection with the use of the Ticketbay Global Service and the purchase of products. The buyer shall be solely responsible for any issues arising from non-compliance with such laws and regulations, and the Company shall bear no liability therefor.
  2. Buyers must follow the procedures designated by the Company under these Terms and Conditions in order to purchase products.
  3. If a buyer refuses to complete a purchase without just cause, disadvantages may be imposed pursuant to Article 18.
  4. If a seller refuses to complete a sale without just cause, the buyer must resolve the issue in accordance with the Company’s guidance.
  5. If the product received does not match the product description listed by the seller, the buyer may choose to request a refund or complete the transaction.
  6. The purchase price may be charged to the buyer in USD, and the charged amount may vary depending on the reference time for exchange rate. Accordingly, the amount displayed on the order form and the actual payment amount may differ (Reference time for exchange rate: 11:00 AM UTC+9). The Company has no control over such additional costs and shall not be held liable for any future costs, including those arising from changes in the purchase price charged to the buyer.
  7. Buyers must keep their information up to date to ensure smooth communication at all times.

Article 18 (Conclusion and Completion of Transaction Agreement)

  1. A transaction agreement for a product shall be concluded immediately after the buyer completes payment for the product listed in the sales posting registered by the seller.
  2. After the transaction agreement is concluded, the transaction is deemed complete at 12:00 PM (UTC+9) on the day following the event date, once the seller delivers the product and the buyer receives it.

Article 19 (Service Fees)

  1. "Service fee" refers to the amount the buyer must pay to the Company in return for the use of the platform and system services. The Company determines the fee based on factors such as service provision costs, market conditions, type of products, and transaction methods.
  2. The buyer service fee is as follows:
    1. The buyer service fee is 15% of the sales price entered by the seller (including VAT), and the Company charges the service fee at the time the buyer makes payment for the product (e.g., If the sales price entered by the seller is $100, the buyer service fee will be $15.)
  3. The service fee is subject to change based on the Company’s internal circumstances. In the event of a change, the Company shall notify members in advance.

Article 20 (Cancellation of Transactions and Refund)

Global buyers shall receive a full refund to their original payment method in the event of a transaction cancellation due to reasons attributable to the seller, such as failure to deliver the product. The refund processing period may vary depending on the payment method used.

  1. After completing payment for a product, the buyer may not cancel the transaction without just cause prior to receiving the product. However, the buyer may cancel the transaction in any of the following cases, in which case the Company shall ensure that a full (100%) refund of the amount paid is processed.
    • If the buyer does not properly receive the product due to reasons attributable to the seller, such as failure to deliver or delayed delivery;
    • If the product is defective due to incorrect product description provided by the seller;
    • If the performance or event is cancelled due to reasons attributable to the organizer and such cancellation is announced through an official channel.
  2. The refund processing period under the proviso to Paragraph 1 may vary depending on the payment method.

Article 21 (Suspension of Service Use)

  1. In order to ensure the safety and reliability of transactions conducted through the Ticketbay Global Service, the Company may suspend a member’s membership upon the occurrence of certain grounds for suspension. A member whose membership has been suspended may be restricted from using part or all of the platform services.

  2. If the Company determines that a member is unsuitable for service use, such as when the member causes or is likely to cause harm to other members through use of the Ticketbay Global Service, the Company may restrict part of the services, including suspension of use.
  3. If multiple grounds for suspension occur, the suspension may be lifted only when all applicable conditions for lifting have been met.

Article 22 (Completion of Transactions)

  1. Buyers may confirm the completion of a transaction via “My Ticketbay > Purchased Items.” However, the Company shall not be liable for any incidents arising from confirming the transaction prior to entry to the event.

  2. If the buyer does not manually confirm completion, the transaction shall be automatically marked as complete at 12:00 PM (UTC+9) on the day following the event date.
  3. If the buyer is unable to attend the event due to reasons attributable to the seller, the buyer may file a claim with the Company by 12:00 PM (UTC+9) on the day following the scheduled event date, along with confirmation from the event organizer verifying the inability to attend. In such cases, the transaction shall not be deemed complete.

Article 23 (Storage and Deletion of Transaction Information)

  1. The Company retains transaction-related information of members as prescribed by the Act on the Consumer Protection in Electronic Commerce, etc., and deletes such information thereafter. Stored transaction information may be accessed by the member at any time upon request.

  2. In the event of a criminal investigation, stored data may be provided to the relevant authorities as evidence in accordance with the Commercial Act or other applicable laws and regulations.

Chapter 5 Protection of Member Information

Article 24 (Collection and Protection of Member Information)

  1. In addition to the information provided by the member for the purpose of concluding a service use agreement, the Company may collect any necessary additional information from the member by clearly stating the purpose of collection or use. In such cases, the Company shall obtain the member’s consent to collect such information.
  2. When obtaining the member’s consent for the collection of information, the Company shall clearly state or notify the member in advance of the purpose of collection and use, and the details of provision to third parties (recipient, purpose of provision, and information to be provided). Even after giving consent, the member may withdraw such consent at any time.
  3. The Company may request personal information from members in order to facilitate consultation and verify their identity. If a member refuses to provide such information, the Company’s ability to provide consultation may be partially limited.
  4. If a member intends to provide information to the Company, the information must be provided truthfully.
  5. Members may access their personal information at any time, and may request correction of any inaccuracies from the Company or the data protection officer. In such cases, the Company shall not use the relevant information until the correction has been made.
  6. The Company shall limit the number of administrators handling member information to the minimum necessary and shall bear full liability for any damage caused to members due to the loss, theft, leakage, or falsification of member information resulting from the Company’s willful misconduct or negligence.
  7. Upon termination of the service use agreement, the Company shall, in principle, destroy the relevant member’s information. However, in the following cases, the Company may retain member information and shall use the retained information solely for the stated purposes:
    1. Where retention is required under applicable laws and regulations such as the Commercial Act or the Act on the Consumer Protection in Electronic Commerce, etc., the Company shall retain member information for the period prescribed by such laws and regulations.
    2. Where a service use agreement is terminated with a member who has registered products through the Ticketbay Global Service, the Company may retain the member’s ID (email), name, contact information, and the minimum necessary information to verify the history of product listings for six (6) months thereafter. This is to prevent members from intentionally circumventing restrictions set forth in these Terms and Conditions by arbitrarily terminating the agreement.

Chapter 6 Disclaimers and Miscellaneous

Article 25 (Disclaimer of Liability of the Company)

  1. As the Company merely provides an online marketplace and supplementary information to members, it shall not be held liable for any damages incurred by members due to defects in products transacted through the platform service, errors or omissions in product listing information, or any similar issues.
  2. The Company shall not be liable for any damages suffered by members resulting from their reliance on the accuracy of information, data, or facts posted by other members.
  3. The Company shall not be liable for any disruption in service use caused by reasons attributable to internet users or members.
  4. The Company shall be exempt from liability for temporary or permanent service suspension due to force majeure events, such as natural disasters or events equivalent thereto, maintenance, replacement, or failure of information and communication equipment, or interruptions in communication. In such cases, the Company shall notify members by posting a notice on the website provided by the Company or through other appropriate means.
  5. The Company and its linked affiliates (referring to companies that operate websites connected to the Company’s service screen through links, partnerships, or similar means) operate independently, and the Company shall not be held liable for any transactions or contracts made between such linked affiliates and members.

Article 26 (Ownership of Copyrights and Restrictions on Use)

  1. Copyrights and other intellectual property rights to works created by the Company shall belong to the Company.
  2. Members shall not, without the Company’s prior consent, use for commercial purposes, or permit any third party to use, any information obtained through the Company’s services that is owned by the Company, whether by reproduction, transmission, publication, distribution, broadcasting, or any other means.
  3. If the Company intends to use any copyrights owned by a member in accordance with these Terms and Conditions, it shall obtain the member’s prior consent.

Article 27 (Governing Law and Jurisdiction)

The interpretation of these Terms and Conditions, the service use agreement between the Company and members, and product transactions between members shall be governed by the laws of the Republic of Korea. Jurisdiction shall also be determined in accordance with the laws of the Republic of Korea.

Article 28 (Miscellaneous Provisions)

  1. The Company shall establish and operate a Customer Service Center in order to reflect members’ legitimate opinions and complaints, resolve issues, and mediate disputes between members. If the Company deems a complaint or opinion submitted by a member to be legitimate, it shall handle the matter promptly. If immediate handling is difficult, the Company shall notify the member of the reason and the expected time frame for resolution.
  2. If there is any violation of the service or inconvenience experienced during use, please use the “1:1 Inquiry” function or contact us at help@ticketbayglobal.com.
  3. Customer Center business hours are from 09:00 to 18:00 (UTC+9) on weekdays, weekends, and public holidays in the Republic of Korea.
  4. The Company’s name, logo, and other intellectual property rights owned by the Company are protected by law, and any infringement thereof shall incur full legal liability.

[Supplementary Provisions]

These Terms and Conditions shall take effect from April 2, 2026 (UTC +9).

Ticketbay Global Service is an online marketplace that facilitates transactions between members. Accordingly, Ticketbay Global Service shall not be held liable for any disputes arising from member-to-member transactions, including product defects, incorrect product description, fraudulent activities, or returns.
